1. Introduction

Welcome to Furniture Banao ("we", "our", or "us"). We operate India's first AI-powered B2B furniture marketplace at furniturebanao.com (the "Platform"). By accessing or using our Platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use the Platform.

These Terms apply to all visitors, registered users, buyers, sellers, and other parties who access or use the Platform in any capacity.

2. Definitions

• "Platform" means the Furniture Banao website, mobile applications, APIs, and all related services.
• "User" means any individual or entity that registers for or uses the Platform.
• "Buyer" means a User who accesses the Platform to discover, inquire about, or procure furniture products or services.
• "Seller" means a User (manufacturer, supplier, or dealer) who lists products or services on the Platform.
• "Listing" means any product, service, or catalog entry posted by a Seller on the Platform.
• "Transaction" means any trade, inquiry, RFQ, quote, or purchase facilitated through the Platform.

3. Account Registration

To access most features of the Platform, you must create an account. By registering, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate and complete.
• Keep your login credentials confidential and not share them with any third party.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately at support@furniturebanao.com if you suspect any unauthorised use of your account.

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in fraudulent or deceptive conduct.

4. Seller Obligations

If you register as a Seller on the Platform, you agree to:

• List only products and services that you are legally authorised to sell or manufacture.
• Provide accurate descriptions, specifications, pricing, and availability for all Listings.
• Maintain valid business registrations (GST, MSME, etc.) as required under applicable Indian law.
• Respond to Buyer inquiries and RFQs within a reasonable timeframe.
• Not post counterfeit, infringing, or prohibited goods.
• Not manipulate product reviews, ratings, or market data on the Platform.
• Honour confirmed quotes and agreed-upon transaction terms.

5. Buyer Obligations

If you use the Platform as a Buyer, you agree to:

• Submit genuine inquiries and RFQs only for bona fide procurement purposes.
• Not misrepresent your company size, requirements, or intent to obtain preferential pricing.
• Honour purchase commitments made through the Platform.
• Not use Seller information obtained through the Platform for purposes outside the intended Transaction.
• Conduct your own due diligence before completing any Transaction.

6. Prohibited Activities

Users must not engage in any of the following on the Platform:

• Posting false, misleading, or fraudulent Listings or inquiries.
• Scraping, harvesting, or collecting data from the Platform without our written consent.
• Circumventing the Platform to conduct Transactions off-platform in order to avoid fees.
• Uploading malware, viruses, or any harmful code.
• Using the Platform to spam, harass, or solicit other Users.
• Attempting to gain unauthorised access to any part of the Platform or its infrastructure.
• Violating any applicable laws, including the Information Technology Act, 2000, and rules thereunder.

7. AI-Powered Features

The Platform offers AI-powered features including text search, image recognition, and BOQ (Bill of Quantities) processing. By using these features, you acknowledge that:

• AI-generated results are provided for informational purposes and may not always be accurate or complete.
• You must independently verify product specifications, pricing, and availability before making procurement decisions.
• Images and documents you upload for AI processing may be used to improve our models, subject to our Privacy Policy.
• We are not liable for any loss arising from reliance on AI-generated outputs.

8. Market Rate Data

Market rate information displayed on the Platform is aggregated from various industry sources and Seller data. This information is provided for general reference only. Furniture Banao does not guarantee the accuracy, completeness, or timeliness of market rate data. Users should not rely solely on this data for commercial decision-making.

9. Intellectual Property

All content on the Platform — including text, graphics, logos, icons, images, audio clips, software, and data compilations — is the property of Furniture Banao or its content suppliers and is protected by applicable intellectual property laws.

By submitting Listings, images, or other content to the Platform, you grant Furniture Banao a non-exclusive, royalty-free, worldwide licence to use, display, and distribute such content for the purpose of operating and promoting the Platform.

You retain ownership of your content. You represent that you own or have the necessary rights to the content you submit and that it does not infringe any third-party intellectual property rights.

10. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Furniture Banao does not warrant that:

• The Platform will be uninterrupted, error-free, or free of viruses or other harmful components.
• Any results obtained from the Platform will be accurate or reliable.
• The quality of products, services, information, or other material obtained through the Platform will meet your expectations.

Furniture Banao acts solely as a marketplace facilitator. We are not a party to any Transaction between Buyers and Sellers. All transactions are conducted directly between the parties.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Furniture Banao and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business interruption — arising from your use of the Platform or any Transaction, even if we have been advised of the possibility of such damages.

Our aggregate liability to you for any claim arising under these Terms shall not exceed the fees paid by you to Furniture Banao in the three (3) months preceding the claim, or INR 10,000, whichever is lower.

12. Indemnification

You agree to indemnify, defend, and hold harmless Furniture Banao and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any content you submit to the Platform.

13. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for any reason including but not limited to violation of these Terms. Upon termination, your right to use the Platform will immediately cease.

You may close your account at any time by contacting us at support@furniturebanao.com. Termination does not affect any rights or obligations that arose before the effective date of termination.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in New Delhi, India.

Subject to the foregoing, you consent to the exclusive jurisdiction of the courts of New Delhi, India for any matter not subject to arbitration.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and, where material changes are made, notify you via email or a prominent notice on the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.
